Welcome to RH Connect, the secure client and collaboration portal operated by RH US OpCo, LLC (“Reliance Hospitality,” “RH,” “we,” “us,” or “our”). These Terms of Use (“Terms”) govern your access to and use of RH Connect, including any associated SharePoint sites, dashboards, embedded applications, and content (collectively, the “Portal”).
By signing in to or otherwise accessing the Portal, you agree to be bound by these Terms. If you do not agree, you must not access or use the Portal.
1. Authorized Users
Access to the Portal is restricted to authorized users, including:
Reliance Hospitality team members and contractors;
Clients of Reliance Hospitality and their designated representatives;
Approved third-party collaborators, vendors, and partners; and
Guests invited through Microsoft Entra B2B or other approved access mechanisms.
Your access rights are personal to you, non-transferable, and may be modified, suspended, or revoked at any time at Reliance Hospitality’s sole discretion.
2. Account Security and Credentials
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to:
Use only credentials issued or approved for you;
Comply with all multifactor authentication and identity verification requirements;
Never share your password, access codes, or session tokens with any other person;
Immediately notify Reliance Hospitality of any suspected unauthorized access, lost device, or security incident; and
Log out of the Portal when finished, particularly on shared or public devices.
3. Permitted Use
The Portal is provided solely for legitimate business purposes related to your engagement with Reliance Hospitality. You may use the Portal to:
Access project materials, schedules, and deliverables associated with your engagement;
Review reports, dashboards, and embedded Smartsheet content;
Collaborate with Reliance Hospitality team members and other authorized users; and
Upload, download, and exchange documents as authorized by your role and permissions.
4. Prohibited Conduct
You agree not to:
Access or attempt to access any data, account, system, or area of the Portal for which you are not authorized;
Circumvent, disable, or interfere with security, authentication, or access-control features;
Upload, transmit, or distribute any malicious code, malware, or harmful content;
Copy, download, scrape, or extract Portal content in bulk, except as expressly permitted by your engagement;
Share, forward, post, or otherwise disclose confidential information accessed through the Portal to unauthorized third parties;
Use the Portal in violation of any applicable law, regulation, contractual obligation, or Reliance Hospitality policy;
Use the Portal to harass, threaten, defame, or harm any person;
Impersonate any individual or misrepresent your affiliation with any person or entity; or
Use automated tools, bots, or scripts to interact with the Portal without prior written authorization.
5. Confidentiality and Ownership of Content
All content made available through the Portal—including documents, reports, schedules, budgets, project plans, dashboards, templates, methodologies, branding, and other materials—is the confidential and proprietary property of Reliance Hospitality, its clients, or its licensors, as applicable.
You agree to treat all such content as confidential and to use it solely for the purposes of your authorized engagement. You will not reproduce, republish, distribute, or create derivative works from any Portal content without the prior written consent of Reliance Hospitality, except as expressly permitted under a separate written agreement (such as a Master Services Agreement, Portfolio Management Agreement, or applicable engagement letter).
Your access to the Portal does not transfer any ownership, license, or intellectual property rights to you, except a limited, revocable, non-exclusive right to use the Portal for its intended purpose.
6. Third-Party Services and Integrations
The Portal may include or link to third-party services and applications, including but not limited to Microsoft 365, SharePoint, Smartsheet, Microsoft Entra ID, and other integrated tools. Your use of those services may also be governed by their own terms and privacy policies, and Reliance Hospitality is not responsible for the availability, content, or practices of any third-party service.
7. Data, Privacy, and Monitoring
Reliance Hospitality may collect, process, and retain information related to your use of the Portal, including authentication data, activity logs, and content you upload or interact with, for purposes such as security, compliance, service delivery, and quality assurance.
You acknowledge and agree that your use of the Portal may be monitored and recorded, and that you have no expectation of privacy in your use of the Portal. You are responsible for ensuring that any personal data or client information you upload complies with applicable privacy laws and your contractual obligations.
8. Availability and Changes
Reliance Hospitality does not guarantee uninterrupted or error-free access to the Portal. We may suspend, modify, or discontinue all or any portion of the Portal at any time, with or without notice, including for maintenance, upgrades, security, or business reasons. We may also update these Terms from time to time; continued use of the Portal after any such update constitutes acceptance of the revised Terms.
9. Termination
Reliance Hospitality may terminate or suspend your access to the Portal at any time, with or without cause and with or without notice, including upon the conclusion of your engagement, a change in your role, or any actual or suspected violation of these Terms. Upon termination, you must immediately cease all use of the Portal and, upon request, return or destroy any confidential information in your possession.
10. Disclaimer of Warranties
THE PORTAL AND ALL CONTENT MADE AVAILABLE THROUGH IT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. Reliance Hospitality does not warrant that the Portal will be secure, uninterrupted, error-free, or free of viruses or other harmful components.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL RELIANCE HOSPITALITY, ITS AFFILIATES, OFFICERS, MEMBERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUES, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE PORTAL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
12. Indemnification
You agree to defend, indemnify, and hold harmless Reliance Hospitality and its affiliates, officers, members, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Portal, your violation of these Terms, or your violation of any rights of a third party.
13. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Portal shall be brought exclusively in the state or federal courts located in Maricopa County, Arizona, and you consent to the personal jurisdiction of those courts.
14. Entire Agreement; Order of Precedence
These Terms constitute the entire agreement between you and Reliance Hospitality regarding your use of the Portal, except where you or your organization has entered into a separate written agreement with Reliance Hospitality that expressly governs Portal access. In the event of a conflict between these Terms and such a written agreement, the written agreement will control with respect to its subject matter.
